1. Your agreement with us

These Terms of Service ("Terms") are an agreement between Architecture Intelligence Inc. ("ScopeGen," "we," "us") and you, or the organization you are authorized to represent ("you"). They cover our websites, applications, ScopeGen construction tools, Included homeowner tools, imports, email workflows, and related services (the "Services").

By creating an account, placing an order that references these Terms, or otherwise affirmatively accepting them, you agree to these Terms. If you act for an organization, you represent that you have authority to bind it. You must be at least 18 and legally able to enter this agreement. The Services are offered for users and projects in the United States; we do not represent that they are appropriate elsewhere.

A separately signed agreement controls where it expressly conflicts with these Terms. The price, billing frequency, limits, and trial or promotional terms disclosed when you order also form part of your agreement. Our Privacy Policy explains our data practices; these Terms do not replace any consent the law requires.

2. AI output and your responsibility

ScopeGen is a drafting and workflow tool, not an architect, engineer, contractor, inspector, or other licensed professional. Its output is not professional advice, a certified takeoff, a binding contractor quote, or a guarantee of project cost.

Generated scopes, estimates, quantities, quote comparisons, suggestions, and images can be incomplete or wrong, including when they look detailed or confident. A label such as "complete" or "ready" describes processing status, not professional validation. Concept images are illustrations, not construction documents. Output may be similar to output supplied to others and may not qualify for intellectual property protection.

Before relying on or sharing output, you must have an appropriately qualified person independently verify the source documents, measurements, quantities, prices, labor, taxes, assumptions, exclusions, site conditions, safety requirements, permits, code compliance, and suitability for the actual project. You are responsible for final bids, contracts, construction methods, purchasing, budgets, and work performed. Do not use the Services as the sole basis for a safety-critical decision.

We do not supervise or warrant the work, qualifications, insurance, licensing, prices, or statements of contractors or other users. Any agreement with them is between you and that party. Using Included or a sharing feature does not make us your agent, construction manager, fiduciary, or a party to that agreement.

3. Accounts and authorized use

Provide accurate information, protect your sign-in links and credentials, and notify us promptly of unauthorized access. You are responsible for your authorized users, workspace permissions, and activity under your control. Workspace administrators may manage members and access to workspace content. Do not use another person's account or circumvent seat, usage, payment, or access restrictions.

Subject to these Terms and your subscription, we grant you a limited, nonexclusive, nontransferable right to use the Services for your own personal or business purposes. You may use and share your project-specific output, subject to the rights of others and your review responsibilities above. No rights to our software, models, prompts, templates, branding, or other underlying technology are transferred to you.

4. Subscriptions, cancellation, and refunds

Paid subscriptions renew automatically at the billing frequency and price disclosed when you order, unless you cancel before renewal. A trial converts to a paid subscription only under the payment and conversion terms disclosed for that offer. Creating an account or receiving a no-card free scope does not, by itself, authorize an undisclosed charge. You authorize our payment processor, Stripe, to charge your chosen payment method for the recurring subscription and other purchases you approve.

A workspace billing administrator can use the billing controls in the account or contact hello@scopegen.ai to cancel. Cancellation stops future renewals and may end access immediately, as explained in the cancellation flow. Deleting files, disconnecting a cloud account, or not using the Services does not cancel a subscription. Keep your billing information current. We may suspend paid features for unpaid amounts, subject to applicable law.

We honor the 30-day money-back guarantee advertised with eligible paid subscriptions and any refund rights required by law. Use the refund-request control in Team settings when available, or contact us for help. The offer presented when you purchased controls its eligibility and timing; these Terms do not narrow a guarantee already promised to you. Outside those commitments or a separate written agreement, payments are nonrefundable and unused time or usage does not earn a credit.

Prices exclude taxes unless the offer says otherwise. You are responsible for applicable transaction taxes other than taxes on our income. We will give advance notice of recurring price increases and an opportunity to cancel before they apply, as required by law. Promotional offers, quotas, and free features may have disclosed limits; we may restrict abuse or repeated attempts to obtain the same offer.

5. Your content and our rights

You retain your rights in the plans, photos, documents, messages, and other material you provide ("Content"). As between you and ScopeGen, you own the project-specific output we generate for you to the extent ownership rights exist, excluding our underlying technology and third-party material. We assign to you any rights we may have in that output on that basis. You must have the rights, permissions, and lawful basis needed to upload Content and let us process it, including information about clients, property owners, employees, and other people.

You grant us a worldwide, nonexclusive, royalty-free license to host, copy, transmit, display, convert, analyze, and otherwise process Content and output to provide, secure, support, and improve the Services as described in our Privacy Policy. We may exercise this license through service providers working for us. It includes generating and delivering output, maintaining backups, resolving problems, and carrying out sharing or import instructions you give us. It does not authorize us to publish your private plans for advertising or disregard applicable confidentiality, privacy, or cloud-provider restrictions.

We may create and use aggregated or properly deidentified information for lawful business purposes, including analytics, product development, benchmarking, and model evaluation or improvement, subject to the Privacy Policy and provider restrictions. These rights may continue after account closure only for information we are lawfully entitled to retain. Google API data and its derivatives are excluded from any permission to train or improve generalized AI models.

If you voluntarily provide product feedback, you grant us a perpetual, irrevocable, worldwide, transferable, sublicensable, royalty-free license to use that feedback without compensation or attribution. This does not convert your private project files or support attachments into unrestricted feedback.

6. Imports, email, and sharing

When you select cloud files or send plans or supported links to your forwarding address, you instruct us to retrieve and process that material and return the resulting documents through the enabled workflow. Provider availability, permissions, file size, file quality, and connectivity can prevent or delay processing. Keep your own originals and verify that every intended file was included; we are not an archival or backup service.

Protect private forwarding addresses, sign-in links, and sharing links. Check recipients and attachments before sending, especially documents containing internal pricing. Anyone who receives a public sharing link or a forwarded attachment may be able to view and redistribute it. Revoking a link or deleting an account cannot recall copies already downloaded or received. Third-party services you connect are also governed by their own terms; we do not control those services.

7. Acceptable use

You must not use the Services to:

  • Break the law, infringe another person's rights, or submit material you cannot lawfully share.
  • Distribute malware or spam, impersonate others, or submit fraudulent or deceptive information.
  • Probe or compromise security, evade rate limits, or access another customer's content without permission.
  • Scrape, resell, sublicense, or systematically extract the Services, or reverse engineer them, except to the extent applicable law expressly permits that activity despite this restriction.
  • Use the Services or output to develop a competing service or train a competing model, other than rights that applicable law does not allow us to restrict.
  • Claim that unreviewed AI output is professionally certified, guaranteed accurate, or approved by us.

Do not upload payment card numbers, government identification numbers, medical records, or other highly sensitive information that is unnecessary for the project. We may investigate suspected violations and remove or restrict content or access when reasonably necessary to protect the Services, others, or our legal obligations.

8. Service changes and termination

We may improve, change, or discontinue features and set reasonable technical limits. Beta and free features may change or end. Unless a separate written agreement says otherwise, we do not promise a particular uptime, response time, or future feature. We may suspend or terminate access for a material breach, nonpayment, security risk, legal requirement, or discontinuation of the Services. Where reasonably practicable, we will give notice and an opportunity to remedy a breach or export your content.

If we discontinue a prepaid paid service or terminate your paid account for our convenience rather than your breach, we will refund unused prepaid fees for the affected period. You may stop using the Services at any time; cancel paid subscriptions separately. After termination, access ends and data is handled under our Privacy Policy. Provisions that by their nature should survive will survive, including accrued payment obligations, retained data rights, disclaimers, liability limits, and dispute provisions.

9. Warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

We do not warrant that the Services or output will be accurate, complete, uninterrupted, secure against every threat, error-free, or suitable for a particular project, or that errors will be corrected. No general marketing statement creates a professional certification or warranty. This disclaimer does not override an express refund guarantee, a separately signed commitment, or rights that cannot lawfully be excluded.

10. Limits on liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOPEGEN AND ITS AFFILIATES, PERSONNEL, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, ARISING OUT OF THE SERVICES OR THESE TERMS. This includes losses associated with inaccurate estimates, omitted work, project delays, cost overruns, or reliance on output, to the extent those losses fall within the excluded categories.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. These limits apply regardless of the legal theory, even if we were advised that damages were possible or a remedy fails of its essential purpose.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, or any other liability or consumer remedy that applicable law prohibits us from excluding or limiting. Where a limitation is not permitted, it applies only to the extent permitted. These allocations of risk are part of the basis on which we offer the Services and set our prices.

11. Business customer indemnity

If you use the Services for a business or organization, you will defend, indemnify, and hold harmless ScopeGen and its affiliates and personnel from third-party claims, damages, liabilities, and reasonable legal fees arising from your Content infringing rights, your unlawful use or material breach of these Terms, or work, bids, or representations you make using the Services. This obligation does not apply to the extent a claim results from our breach of these Terms, gross negligence, or willful misconduct, or where prohibited by law.

We will give reasonably prompt notice and reasonable cooperation at your expense. You may control the defense with competent counsel, but may not settle a claim in a way that admits fault for us, requires us to pay, or imposes a nonmonetary obligation without our written consent. We may participate with our own counsel at our expense.

12. Governing law and disputes

Delaware law governs these Terms, without regard to conflict-of-laws rules, except that mandatory protections of the law where you live remain available. Subject to those protections, disputes will be brought exclusively in the state or federal courts in Delaware, and you and ScopeGen consent to their jurisdiction and venue. This does not prevent you from using an eligible small-claims court where applicable law permits, contacting a regulator, or exercising nonwaivable consumer rights.

Please contact hello@scopegen.ai with a description of a dispute so we can try to resolve it. Doing so is not a condition that prevents you from meeting a legal deadline or seeking urgent relief.

13. Changes and other terms

We may update these Terms. We will post the revised version and date here and give reasonable advance notice of material changes by email or in the Services, except where an immediate change is necessary for law or security. Changes apply prospectively; we will obtain renewed acceptance where required. They do not retroactively expand permissions to use previously collected personal information. If you do not accept a change, stop using the affected Services and cancel any renewal.

These Terms and applicable order terms are the entire agreement about the Services unless we separately sign another agreement. An unenforceable provision will be limited or severed to the minimum extent necessary; the rest remains effective. Failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; we may assign it in connection with a merger, reorganization, or sale of our business, subject to applicable law and data-transfer restrictions. Neither party is liable for delays caused by events reasonably beyond its control, except accrued payment obligations. There are no third-party beneficiaries except the parties expressly protected by the disclaimer, liability, and indemnity provisions.

We may provide contractual notices electronically to your account email or in the Services, subject to applicable law. For legal notices, questions, or concerns, contact Architecture Intelligence Inc., doing business as ScopeGen, at hello@scopegen.ai.
